On January 22, 2015, Xhibit Corp. ("Xhibit" or the "Company"), and its wholly-owned subsidiaries, SkyMall, LLC, Xhibit Interactive, LLC; FlyReply Corp.; SHC Parent Corp.; SpyFire Interactive, LLC; Stacked Digital, LLC; and SkyMall Interests, LLC (collectively with the Company, the “Debtors”), filed voluntary petitions for relief (the “Bankruptcy Filing”) under Chapter 11 of the United States Bankruptcy Code (the “Bankruptcy Code”) in the United States Bankruptcy Court for the District of Arizona (the “Bankruptcy Court,”). The Debtors' Chapter 11 cases (collectively, the "Bankruptcy Cases") are expected to be jointly administered under the caption “In re: SkyMall, LLC, et al.,” Case No. 2:15-00679-BKM.

The Court approved a sale of certain SkyMall assets in accordance with the terms of the Order Authorizing Sale of Certain Assets by Debtor SkyMall, LLC Free and Clear of Claims, Liens, Encumbrances and Other Interests entered on March 27, 2015 [Docket No. 316]. On the April 3, 2015, SkyMall closed the Sale in accordance with Sale Order.

The jointly administered Debtors are currently working with the Official Committee of Unsecured Creditors to formulate a plan of reorganization.

Vendors, suppliers and former employees who have not received payment for services or goods provided prior to January 22, 2015 will need to submit a proof of claim for unpaid pre-petition goods or services.

The last day for creditors and equity interest holders to file proofs of claim, proofs of equity interests, or requests for payment of certain Administrative Claims is fixed as June 15, 2015 (the "Bar Date").

The Bar Date shall be the last day for (i) holders of claims (as defined in Bankruptcy Code §101(5)) to file proofs of claim in the Debtors’ respective Bankruptcy Cases, (ii) holders of equity interests in the Debtors to file proofs of interest in the Debtors' respective Bankruptcy Cases, and (iii) holders of "Subject Administrative Claims" to file requests for payment of a Subject Administrative Claim.

Procedures for Filing Proofs of Claim and Interests.

The following procedures for the filing of proofs of claim and interests shall apply:

a. Proofs of claim and interest must conform substantially to the official proof of claim form. The form proof of claim may be obtained on the website stated below, or upon request to Debtors' counsel.

b. Proofs of claim and interest shall be filed in accordance with the instructions set forth at or by regular mail or by overnight mail to the following:

c. Proofs of claim will be deemed filed only when actually received by the Clerk of the Court on or before the Bar Date.
